Fredric M. Sanders is a Partner in Taxation. He concentrates on tax matters for both individual and corporate clients, executive compensation plans, structured finance and venture capital financing for companies in a wide range of industries.
Mr. Sanders has been involved in structuring domestic and international transactions on behalf of both buyers and sellers. These have included both taxable and tax-free acquisitions and divestitures of businesses in the most tax-efficient manner, focusing on the business objectives of the participants as well as their shareholders and employees. In addition, he has designed compensation packages for executives including the preparation of incentive stock option plans and nonqualified stock option plans as well as restricted stock programs. In recent years, Mr. Sanders has been involved in tax issues concerning internet and high tech entities including structuring venture capital investments in those entities. He has also advised clients on the state and local tax issues involving e-commerce and internet transactions. He represents clients before the Internal Revenue Service, the New York State Tax Commission and the New York City Department of Finance. Mr. Sanders has also been heavily involved in corporate and tax issues of closely-held businesses, including S corporations, partnerships and LLCs, succession issues and estate planning for the owners and shareholders of those businesses.
Mr. Sanders is a director and President of the Metropolitan Contemporary Glass Group, a director and member of the Executive Committee of Urban Glass and a director and officer of Project People Foundation, a tax-exempt organization involved in projects in South Africa. He advises both private and publicly-supported foundations on tax and related matters.
